Agadi House - Terms and conditions

§1 GENERAL PROVISIONS

These Terms and Conditions apply to Electronic Services offered exclusively on the Polish market to customers with a permanent place of residence in Poland by Agadi House LTD, having its registered address at: Office 44, 182-184, High Street North, Area 1/1, East Ham, London, E6 2JA, United Kingdom, Tax Identification Number (NIP): 5263778219, e-mail address: contact@agadihouse.com, telephone number: +44 743 816 25 90, through the website https://www.agadihouse.com.

These Terms and Conditions constitute terms and conditions within the meaning of the Polish Act on the Provision of Electronic Services. Additionally, we indicate that in the case of agreements concluded via the Internet between traders and consumers from Member States of the European Union – in our case, consumers from Poland – the rule set out in Article 6 of Regulation (EC) No. 593/2008 of the European Parliament and of the Council of 17 June 2008 on the law applicable to contractual obligations (Rome I) shall apply. Pursuant to this regulation, an agreement concluded by a consumer with a trader shall be governed by the law of the country in which the consumer has their habitual residence (therefore Polish law), provided that the trader: 1) pursues their commercial or professional activities in the country in which the consumer has their habitual residence; or 2) by any means directs such activities to that country or to several countries including that country, and the agreement falls within the scope of such activities.

The Store available at https://www.agadihouse.com operates in accordance with these Terms and Conditions.

These Terms and Conditions specify the types, scope and conditions of Electronic Services provided by the Seller, as well as the conditions for concluding and terminating agreements for the provision of Electronic Services and the complaint procedure. These Terms and Conditions apply both to Consumers and to entrepreneurs using the Store, in particular those who have purchased Products offered in the Store. These Terms and Conditions define the rules for using the Store and the rules and procedure for concluding distance Sales Agreements with the Customer through the Store.

The Customer may communicate with the Store using the addresses and telephone number provided in these Terms and Conditions.

The Customer may also contact the Store via the contact form available on the Store's website.

The Customer may contact the Store by telephone from 17:00 to 22:00, Monday to Friday.

§2 DEFINITIONS CONTAINED IN THE TERMS AND CONDITIONS

Unless otherwise stated in these Terms and Conditions, the following terms shall have the meanings assigned to them below:

REGISTRATION FORM – a form available on the website https://www.agadihouse.com enabling the creation of an Account.

CUSTOMER – a Service Recipient with a permanent place of residence in Poland who intends to conclude or has concluded a Sales Agreement with the Seller;

CONSUMER – a natural person concluding an agreement with the Seller, the subject matter of which is not directly related to their business or professional activity, resulting in particular from the subject matter of the business activity conducted by them, made available pursuant to the provisions on the Central Registration and Information on Business Activity;

ACCOUNT – a set of resources in the Service Provider's ICT system, identified by an individual name (login) and password, in which the Service Recipient's data, including information about Orders placed, is collected.

PRODUCT – a good available and offered for sale in all categories of the Store, which may be the subject of a Sales Agreement between the Customer and the Seller.

TERMS AND CONDITIONS – these Terms and Conditions of the Store;

STORE – the Service Provider's online store selling Products from its offer via the Internet, operating at https://www.agadihouse.com, where the Customer may review the Products currently available for sale;

SELLER / SERVICE PROVIDER – Agadi House LTD, Office 44, 182-184, High Street North, Area 1/1, East Ham, London, E6 2JA, United Kingdom, Tax Identification Number (NIP): 5263778219, e-mail address: contact@agadihouse.com, telephone number: +44 743 816 25 90;

SALES AGREEMENT – a Sales Agreement for a Product concluded between the Customer and the Seller through the Store;

ELECTRONIC SERVICE – a service provided electronically by the Service Provider to the Service Recipient through the Store;

SERVICE RECIPIENT – a natural person who is at least 13 years of age, provided that where such person is under 18 years of age, the consent of their legal representative is required unless such person has full legal capacity. A Service Recipient may also be a legal person or an organisational unit without legal personality to which legal capacity is granted by law, using the Store, in particular placing Orders through the Store in accordance with these Terms and Conditions;

ORDER – a declaration of intent made by the Customer via https://www.agadihouse.com aimed directly at concluding a Sales Agreement for a Product with the Seller;

PRICE – the specified value of a Product expressed in money in PLN (Polish Złoty). All Prices visible in the Store are gross prices and include value added tax (VAT);

LOWEST PRICE – the lowest Price of a Product applicable during the 30-day period preceding the introduction of a price reduction. In the case of a Product offered for sale for less than 30 days, information about the reduced price shall be accompanied by information about the lowest Price of that Product applicable from the date of commencement of sale until the date of introduction of the reduction;

CART – a functional element of the Store enabling the Customer to make purchases through the Store available at https://www.agadihouse.com.

§3 INFORMATION ABOUT PRODUCTS, THEIR ORDERING AND RULES FOR USING THE STORE

The Products offered in the Store are Products of the Seller and Authors. The Products are new, free from physical and legal defects, and have been lawfully placed on the Polish market in accordance with applicable regulations. All Products in the Store are clearly described.

The Customer may browse Products available in the Store.

Information posted in the Store does not constitute an offer to conclude an agreement within the meaning of the Civil Code.

The Customer may place an Order via https://www.agadihouse.com. Orders may be placed 24 hours a day, 7 days a week, throughout the year. Orders placed in the Store may be made both by Customers holding an Account and by Customers without an Account (without registration).

The Customer may register an Account in the Store by clicking the “Log in” option located at the top of the Store's website at https://www.agadihouse.com or may register an Account while placing an Order through the Store.

After completing the Registration Form, the Customer should click the “Register Account” button. A confirmation message regarding Account registration will be sent by the Seller to the e-mail address provided in the Registration Form. Registration of a Customer Account in the Store is voluntary and free of charge.

Submitting an Order constitutes an offer within the meaning of the Civil Code made by the Buyer to the Seller.

The Customer places an Order by providing personal data, namely: first name and surname, address (street, house/apartment number, postal code, city, country), e-mail address and telephone number. The Customer may also request a VAT invoice containing a Tax Identification Number (NIP) after providing invoice details including the NIP number. Providing the personal data specified above is voluntary but necessary to place an Order. Failure to provide such personal data will make it impossible to place an Order. Before placing an Order, the Customer should read these Terms and Conditions and the Privacy Policy. Placing an Order constitutes acceptance of these Terms and Conditions and the Privacy Policy.

Each time an Order is placed, the Customer shall be informed of the total Price of the Products and the delivery costs, the amount of which depends on the delivery method selected by the Customer.

In order to confirm acceptance of the Order for Products, the Customer receives confirmation of the Order at the e-mail address provided when placing the Order.

The Prices of Products ordered by the Customer during the Order process and offered by the Seller are final prices. Where the settlement currency is not the Polish currency, the amount charged may differ slightly from the Price of the purchased Product due to currency conversion and exchange rate differences between banks.

§4 CONCLUSION OF THE SALES AGREEMENT

In order to conclude a Sales Agreement, it is necessary for the Customer to place an Order in accordance with the rules described in these Terms and Conditions.

After the Customer places an Order, the Seller shall immediately confirm its receipt and accept the Order for processing. Confirmation of receipt of the Order and its acceptance for processing takes place by sending the Customer an e-mail message containing at least the Seller's statement confirming receipt of the Order and its acceptance for processing, as well as confirmation of the conclusion of the Sales Agreement.

Upon receipt of the above e-mail message by the Customer, a Sales Agreement is concluded between the Customer and the Seller.

§5 PAYMENT METHODS

The Seller provides the following payment methods:

  • BLIK,
  • traditional bank transfer,
  • electronic payments via the Przelewy24 service,
  • payment card payments via the Przelewy24 system,
  • Apple Pay,
  • Google Pay.

Payment should be made immediately after placing the Order.

§6 COSTS, DELIVERY TIMES AND METHODS OF PRODUCT DELIVERY

Delivery of the Product is available within the territory of the Republic of Poland.

The Customer is required to bear the delivery costs of the Product, which are indicated each time during the Order placement process and depend on the delivery method selected by the Customer.

Delivery of the Product to the Customer is subject to a charge unless otherwise provided in the Sales Agreement.

The Product shall be delivered no later than within 30 calendar days from the date of conclusion of the Sales Agreement, unless a shorter delivery period is specified in the Product description or during the Order placement process.

The Customer is required to collect the shipment within the period specified by the carrier or collection point operator.

If the Customer fails to collect the shipment and it is returned to the Seller, such failure shall be deemed to have occurred for reasons attributable to the Customer.

In the event that an uncollected shipment is returned to the Seller, the Customer shall bear the actual costs incurred by the Seller in connection with the delivery and return of the shipment, provided that such costs have been charged by the carrier or logistics operator.

If the Seller issues a refund due to the Customer's failure to collect the shipment, the refunded amount shall be reduced by the costs referred to in the preceding paragraph.

Reshipment of the Order shall be carried out only after the Customer has paid the costs of the new delivery and any costs arising from the failure to collect the original shipment.

The provisions of this section shall not limit any rights granted to consumers under mandatory provisions of applicable law.

§7 PRODUCT RANKING

The arrangement of Products on the Store's website is not sponsored or paid for by any third party in any way. The Store does not apply any ranking or positioning techniques promoting specific Products due to remuneration received from the Product manufacturer or supplier.

Products are presented in an order determined by the Seller, taking into account popularity, availability, category and date of addition.

§8 PRODUCT COMPLAINTS

These Terms and Conditions specify the procedure for submitting and handling all complaints made to the Seller, in particular those concerning the Sales Agreement, Electronic Services and the operation of the Store.

Complaints may be submitted:

  • in writing to: Agadi House LTD, Office 44, 182-184, High Street North, Area 1/1, East Ham, London, E6 2JA, United Kingdom,
  • by e-mail to: contact@agadihouse.com.

In order to expedite the complaint handling process, it is recommended that the complaint include in particular: the Customer's first name and surname, e-mail address, the date of conclusion of the agreement forming the basis of the complaint, the subject of the complaint together with the Customer's request, and all circumstances justifying the complaint.

The Seller shall respond to the complaint without undue delay, no later than within 14 calendar days from the date of its submission. Failure by the Seller to respond within the above period shall mean that the Seller has acknowledged the complaint as justified.

If necessary to assess the validity of the complaint, the Seller may request delivery of the complained-about Product to the address indicated above. The cost of delivering the Product shall be borne by the Seller.

§9 SELLER'S LIABILITY

The Seller shall be liable to a Customer who is a Consumer for any lack of conformity of the Product with the agreement in accordance with applicable legal provisions, in particular the Act of 30 May 2014 on Consumer Rights.

The Seller shall also be liable to the Customer under the statutory warranty if a physical defect is discovered before the expiry of two years from the date on which the item was delivered to the Customer.

In the case of sales that do not constitute consumer sales, the provisions regarding statutory warranty contained in the Civil Code shall be excluded.

§10 RIGHT OF WITHDRAWAL FROM THE AGREEMENT

If the Customer is a Consumer, they have the right to withdraw from a distance agreement for the purchase of a Product without giving any reason within 14 days from the day on which the Product is taken into possession by the Customer or by a third party indicated by the Customer.

In order to exercise the right of withdrawal, the Customer should inform the Seller of their decision by means of an unequivocal statement of withdrawal – for example by sending a letter to: Agadi House LTD or an e-mail to: contact@agadihouse.com.

The Customer may use the withdrawal form attached to these Terms and Conditions, although this is not obligatory.

To meet the withdrawal deadline, it is sufficient for the Customer to send information concerning the exercise of the right of withdrawal before the withdrawal period has expired.

In the event of withdrawal from the agreement, the Seller shall reimburse all payments received from the Customer, including the costs of delivery of the goods (with the exception of additional costs resulting from the Customer's choice of a method of delivery other than the least expensive standard delivery method offered by the Store), without undue delay and in any event no later than 14 days from the date on which the Seller was informed of the Customer's decision to exercise the right of withdrawal.

The Seller shall make the reimbursement using the same means of payment as those used by the Customer, unless the Customer expressly agrees otherwise.

§11 PROVISIONS CONCERNING ENTREPRENEURS (B2B)

This section contains provisions applicable exclusively to Customers who are not Consumers.

The Seller shall have the right to withdraw from a Sales Agreement concluded with a Customer who is not a Consumer within 14 calendar days from the date of its conclusion. Withdrawal from the Sales Agreement in such a case may take place without giving any reason and shall not give rise to any claims by the non-Consumer Customer against the Seller.

In the case of Customers who are not Consumers, the Seller has the right to limit the available payment methods, including requiring full or partial prepayment, regardless of the payment method selected by the Customer and regardless of the conclusion of the Sales Agreement.

Upon delivery of the Product by the Seller to the carrier, the benefits and burdens associated with the Product, as well as the risk of accidental loss or damage to the Product, shall pass to the Customer who is not a Consumer. In such a case, the Seller shall not be liable for loss, shortage or damage to the Product occurring from the moment it is accepted for transport until it is delivered to the Customer, nor for delays in transportation.

If the Product is sent to the Customer via a carrier, the Customer who is not a Consumer is obliged to inspect the shipment at the time and in the manner customary for shipments of that kind. If they determine that loss or damage to the Product occurred during transport, they are obliged to take all actions necessary to establish the carrier's liability.

The Seller's liability towards a Customer who is not a Consumer, regardless of its legal basis, shall be limited – both with respect to a single claim and to all claims in total – to the amount of the price paid and the delivery costs under the Sales Agreement. The Seller shall be liable to a Customer who is not a Consumer only for typical damages foreseeable at the time of conclusion of the agreement and shall not be liable for lost profits in relation to a Customer who is not a Consumer.

§12 TYPE AND SCOPE OF ELECTRONIC SERVICES

The Service Provider enables the use of Electronic Services through the Store, such as:

  • concluding Sales Agreements through the Order Form,
  • maintaining an Account in the Store,
  • Newsletter.

The provision of Electronic Services to Service Recipients in the Store takes place under the conditions specified in these Terms and Conditions.

§13 NEWSLETTER

The Customer may consent to receiving the Newsletter provided by the Seller. The Newsletter is sent exclusively to Customers who have subscribed to the Newsletter by selecting the appropriate checkbox in the Registration Form or Order and who have consented to receiving commercial information at the e-mail address provided.

As part of the Newsletter service, the Seller sends e-mail messages containing information about the Seller's Products or services, new releases and promotions available in the Store.

The Customer may unsubscribe from the Newsletter at any time by clicking the appropriate link included in every Newsletter e-mail message or by sending an appropriate request to the Seller at: contact@agadihouse.com.

§14 PRODUCT REVIEWS

The Seller enables Customers who have purchased a Product from the Store to submit and access reviews of Products.

A review may only be submitted by a Customer who has purchased the relevant Product from the Store. The Seller ensures that reviews published in the Store originate exclusively from Customers who have purchased the Product.

In order to add a review, the Customer should log in to their Account and go to the "My Orders" section, then select the Product and click the "Add Review" option.

Reviews are moderated by the Seller solely for the purpose of verifying their compliance with these Terms and Conditions and the principles of social coexistence. The Seller reserves the right to remove a review that contains vulgar, offensive, false content or content infringing the rights of third parties.

The Seller does not modify the content of reviews submitted by Customers. Reviews are published in the Store within 7 days from the date of their submission by the Customer.

§15 CONDITIONS FOR THE PROVISION AND CONCLUSION OF AGREEMENTS FOR THE PROVISION OF ELECTRONIC SERVICES

An agreement for the provision of an Electronic Service consisting of maintaining an Account in the Store is concluded for an indefinite period.

An agreement for the provision of an Electronic Service consisting of enabling the placement of an Order in the Store through the Order Form is concluded for a fixed period and terminates upon the placement of the Order or upon the Service Recipient ceasing the Order placement process.

The technical requirements necessary for cooperation with the ICT system used by the Service Provider are as follows:

  • a computer or mobile device with Internet access,
  • access to e-mail,
  • a web browser: Mozilla Firefox, Internet Explorer, Google Chrome, Safari or Microsoft Edge in the latest version,
  • enabled Cookies and JavaScript in the web browser.

The Service Recipient is obliged to use the Store in a manner consistent with the law and good practice, taking into account respect for the personal rights and intellectual property rights of third parties.

The Service Recipient is obliged to provide data consistent with the actual facts.

The Service Recipient is prohibited from providing unlawful content.

§16 CONDITIONS FOR TERMINATION OF AGREEMENTS FOR THE PROVISION OF ELECTRONIC SERVICES

An agreement for the provision of a continuous and indefinite Electronic Service (maintenance of an Account) may be terminated.

The Service Recipient may terminate the agreement for the provision of an Electronic Service at any time without stating any reason by sending an appropriate statement electronically to the e-mail address: contact@agadihouse.com or in writing to: Agadi House LTD, Office 44, 182-184, High Street North, Area 1/1, East Ham, London, E6 2JA, United Kingdom. In such a case, the agreement shall terminate after the expiry of 7 days from the date of submission of the notice of termination (notice period), unless the Parties agree on a shorter notice period.

The Service Provider may terminate the agreement for the provision of an Electronic Service if the Service Recipient breaches these Terms and Conditions, in particular by providing unlawful content, following a prior ineffective request to cease the breach within an appropriate period. In such a case, termination shall take place with 7 days' notice.

Termination results in the legal relationship ending with effect for the future.

§17 COPYRIGHT

Content published on the website available at https://www.agadihouse.com may be protected by copyright law. Copying, processing and distributing such content without the Seller's prior written consent is prohibited.

All copyrights to photographs, descriptions and other content published in the Store belong to the Seller or entities with whom the Seller has concluded appropriate licence agreements.

§18 FINAL PROVISIONS

Agreements concluded through the Store are concluded in accordance with Polish law.

In matters not regulated by these Terms and Conditions, the relevant provisions of Polish law shall apply, in particular the Civil Code, the Act on the Provision of Electronic Services and the Consumer Rights Act.

The content of these Terms and Conditions may be amended. The Seller shall inform registered Customers of any changes 14 days before such changes come into effect by sending an e-mail message.

Amendments to these Terms and Conditions shall not affect rights acquired by Customers under the version in force at the time of conclusion of the Sales Agreement or use of Electronic Services.

These Terms and Conditions shall enter into force on 16.06.2025.

Appendix 1

INFORMATION ON THE RIGHT OF WITHDRAWAL

The Consumer has the right to withdraw from the agreement within 14 days without giving any reason.

The withdrawal period shall expire after 14 days from the date of conclusion of the agreement.

To exercise the right of withdrawal, you must inform us (Agadi House LTD, Office 44, 182-184, High Street North, Area 1/1, East Ham, London, E6 2JA, United Kingdom, contact@agadihouse.com) of your decision to withdraw from this agreement by means of an unequivocal statement (for example, a letter sent by post or e-mail).

You may use the model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send information concerning your exercise of the right of withdrawal before the withdrawal period has expired.

EFFECTS OF WITHDRAWAL

If you withdraw from this agreement, we shall reimburse all payments received from you, including the costs of delivery of the goods (with the exception of additional costs resulting from your choice of a type of delivery other than the least expensive standard type of delivery offered by us), without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw from this agreement.

We shall make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
